Terms of Service: Referrals

1. Eligibility
Eligible Participants: Customers who have an active paid, non-free account with Exafunction, Inc. (“Exafunction”) and are accepted by Exafunction for participation in the Codeium Referral Program (“Referrer”) can participate in the referral program. The acceptance or rejection of a customer as a Referrer shall in each case be within Exafunction’s sole discretion.
Referral Limit: Referrals must be made by the customer to someone who has not previously signed up for Exafunction’s products.
2. How the Referral Program Works
- Referral Link: Participants will receive a unique referral link or code, which they can share with potential customers (referrals).
- Referral Activation: A referral is considered converted once the referred customer uses the referral link to successfully sign up for a paid, non-free Pro or higher-level account with Exafunction. The acceptance or rejection of any attempted sign up shall in each case be within Exafunction’s sole discretion, and Exafunction shall have no obligation to accept any attempted sign up.
- Referred Customer Actions: The referred person must meet specific criteria (e.g., first-time user, minimum transaction amount, etc.) within a set time frame (e.g., 30 days) for the referral to be considered converted and eligible to earn any reward for the applicable Referrer. A customer who meets all criteria set forth in this these Codeium Referral Program Rules (the “Conversion Criteria”) shall be herein referred to as a “Converted Referral”.
3. Rewards for Referring Customers
- Referrer Rewards: Referrers will receive the amount of Flex Credits stated on www.codeium.com/refer once their referred customer successfully completes the necessary actions and meets all Conversion Criteria and requirements for qualifying as a Converted Referral. Rewards may not be awarded or received immediately; there may be a delay between the meeting of all requirements with respect to a Converted Referral and such award and/or receipt.
- Referred Customer Rewards: The referred customer may receive a reward (e.g., free credits) upon signing up and completing the required actions. This reward is separate from the Referrer’s reward.
4. Referral Reward Limitations
- Reward Caps: There may be a cap on the maximum number of referral rewards a customer can earn, either monthly or for the lifetime of the program. For example, “Earn up to 10 referral rewards per month.”
- Non-Transferability: Referral rewards are non-transferable and cannot be redeemed for cash.
- Acceptable Use Policy: Referrers must at all times comply with and abide by the Acceptable Use Policy for Referrers attached hereto (the “AUP”) and is part of these Codeium Referral Program Rules.
- No Abuse: Referrals that are determined by Exafunction in its discretion to be fraudulent or to be manipulative of, or to violate, the Codeium Referral Program (including without limitation the AUP) or its terms (e.g., self-referrals, fake accounts) will result in disqualification from the program and the forfeiture of earned rewards.
- Cancellation/Clawback: All rewards under the Codeium Referral Program are subject to immediate cancellation, forfeiture, and/or clawback in the event that the applicable Converted Referral does not pay in full all amounts due to Exafunction; charges back any amount; terminates or cancels its account; violates any obligation, term, condition, requirement, policy, law, or rule related to its account or any service or product of Exafunction or the occurrence of any event that deprives Exafunction, in whole or in part, of the full benefit of a legitimate new paying customer account.
5. Program Validity
- Program Period: The referral program may have specific start and end dates. Exafunction reserves the right to end or modify the program or its terms at any time.
- Program Modifications: Exafunction reserves the right to change or replace these Codeium Referral Program Rules or the terms, reward structure, or eligibility criteria of the Codeium Referral Program at any time, with or without notice, via update to this web page or any other method of notification.
6. Disqualification
- Invalid Referrals: Referrals that do not meet the program's criteria or are flagged for suspected fraud or manipulation (e.g., creating fake accounts) will be invalid and not eligible for rewards.
- Violation of Terms: Any violation of Exafunction's general terms of service or referral program rules (including without limitation the AUP) will result in immediate disqualification from the program, and any rewards earned may be forfeited.
7. Taxes
- Tax Responsibility: Referral rewards may be considered taxable income. It is the responsibility of the customer to report any rewards to the appropriate tax authorities.
8. Referral Program Communication
- Notification of Rewards: Participants will be notified via email or app notifications when a Converted Referral has been successfully completed and when rewards are earned.
- Customer Support: For any questions regarding the referral program or to report issues, participants can file a support ticket by/via www.codeium.com/support.
Disclaimer
By participating in the referral program, customers agree to abide by these terms and conditions (including without limitation the AUP). Exafunction reserves the right to amend or cancel the program at any time. All decisions regarding the program and rewards are final. All determinations relating to the Conversion Criteria or otherwise related to the Codeium Referral Program shall be based on Exafunction’s records and data and records.
Acceptable Use Policy for Referrers
This AUP governs the conduct of Referrers. Capitalized terms used but not defined herein shall have the meanings assigned to them in the Codeium Referral Program Rules.
- Compliance with Laws and Regulations. Referrers must comply with all applicable local, state, and federal laws, including but not limited to regulations regarding advertising, solicitation, and data privacy. Referrals that violate laws, including deceptive or misleading practices, are strictly prohibited.
- Honest Representations. Referrers must accurately represent Exafunction’s products, services, and reputation. False, exaggerated, or misleading claims are not permitted.
- Prohibited Activities. Referrers may not: Engage in spam, unsolicited messaging, or other forms of intrusive communication. Use fraudulent, unethical, or coercive tactics to obtain referrals. Refer customers who have not expressed genuine interest in Exafunction’s offerings.
- Confidentiality. Referrers must keep confidential any non-public information shared by Exafunction in connection with the referral program and referred parties and may not disclose such information to third parties.
- Non-Disparagement. Referrers may not engage in conduct that disparages Exafunction, its products, services, or reputation.
- Self-Referrals. Referrers may not refer themselves or engage in any practices designed to manipulate the referral program for personal gain.
- Participation. By participating in the referral program, Referrers acknowledge that they have read, understood, and agree to abide by this AUP. Violation of this AUP may result in suspension or termination from the program and forfeiture of unpaid referral compensation. Exafunction reserves the right to terminate a Referrer’s participation in the referral program at its sole discretion for violations of this AUP or any other misconduct.
